FEES AND PAYMENTS POLICY

PLEASE READ THE FOLLOWING CAREFULLY. THIS IS A LEGALLY BINDING AGREEMENT BETWEEN YOU AS A USER (AS DEFINED BELOW) (“USER” OR “YOU”) AND SALOON STUDIOS, LLC (“SALOON STUDIOS” OR “WE”). IF YOU HAVE NOT READ THE AGREEMENT, DO NOT UNDERSTAND OR AGREE TO BE BOUND BY THE AGREEMENT, OR ARE NOT ABLE TO CONSENT TO BE BOUND BY THE AGREEMENT (E.G., IF YOU ARE NOT OLD ENOUGH TO ENTER INTO A BINDING LEGAL CONTRACT), DO NOT PURCHASE OUR FEE-BASED SERVICES.

1. Scope and Acceptance

Your orders and purchases on or through Our Website, including all sites and applications where we facilitate ticket reservations or payment transactions, are subject to these terms. . By clicking “Place Order” or otherwise submitting an order, You signify that You have read this agreement and that You understand and agree to be bound by this Fees and Payment Policy.

2. Fee-Based Services

Saloon Studios reserves the right to charge fees for use of or access to any products, venues, events, or other services, and any associated support, (collectively, “Services”) whether currently in existence or not, in Our sole discretion.  Fee-based Services may also be subject to certain taxes, processing, shipping, service and/or other fees related to the Service, transaction and/or the Website.

All prices for Services are stated in U.S. Dollars.  Saloon Studios reserves the right to change or alter any fee for Services at any time.  We use a designated third party payment processor.

We, in Our sole discretion, may change, discontinue, or terminate any or all aspects of a fee-based Service without notice, including access to support services, content and other products or services ancillary to the fee-based Service, subject to providing a pro-rata refund for any portions of a specified but no longer available term.

3. Billing and Payment

You agree to pay Us for any fee-based Services You order from Us, as well as all other charges incurred under Your account, including without limitation applicable taxes and fees. You are responsible for all charges incurred under Your order and/or Your Registration Account, including purchases made by You or anyone You allow to use Your Registration Account or any sub-or linked accounts (including any person with implied, actual, or apparent authority) or anyone who gains access to Your Registration Account as a result of Your failure to safeguard Your authentication credentials.

Additionally, by placing an order for any Service:

• Authority. You represent that You are at least the minimum age required to enter into a legal agreement, that the billing and payment information is accurate and up to date, and that You have the right and authority to use the billing and payment information.
• Payment Methods. You authorize and direct Us or a designated third-party payment processor to collect and charge Your designated payment method for these charges or, if it fails, to charge any other payment method You have on file with us, even if We received it in association with other fee-based Services. You are responsible for all charges even if Your payment method fails or is denied. You permit Us to obtain and use updated information from the issuer of Your payment method in accordance with the policies and procedures of any applicable card brands. We may in some instances continue charging a payment method past its expiration date at Our discretion and subject to the payment processors’ or issuing bank’s approval. Surcharges may apply if You use certain payment methods, such as payment from Your checking or savings account.
• Verification and Fraud Protection. All orders are subject to verification of the billing and payment information, including any credit card information, You provide to us. If we receive incorrect billing or payment information, We may attempt to contact You using the contact information provided at the time of Your order and/or in your registration Account, and You authorize Us to do so for verification and anti-fraud purposes.  If We are unable to contact you or otherwise verify the billing any payment information, We may cancel your order without further notice.
• No Refunds. All charges are nonrefundable unless expressly provided otherwise in these terms or additional terms that You agree to when You order a fee-based Service.

4. Order Confirmation

If you do not receive an order confirmation number (via a confirmation email) after submitting order payment information, or experience any errors or interruptions during the payment process, it is Your responsibility to contact Us to confirm whether or not the order has been placed.  Saloon Studios is not liable for any losses incurred by You, if you assume that an order was or was not placed because you failed to receive a confirmation.

5. Errors and Changes in Fees or Billing Method

If the amount You paid for a Service is incorrect, regardless of whether the reason is human error or technical malfunction, then We reserve the right to cancel the applicable order and refund the amount actually paid by You for that order.

6. Third Party Services

If the fee-based Service includes a third-party product or service, You understand and agree that Your purchase and use of the Service is also subject to the third party’s terms of service and privacy policy, which You should read thoroughly before agreeing to them. Saloon Studios is not liable for any purchase or use of third-party products or services, nor are We responsible for any damages resulting from the purchase or use of third-party products or services.

7. Website Terms of Use

The Saloon Studios Website Terms of Use shall also apply, and are incorporated herein.  Any capitalized word that is not defined in these terms has the meaning defined in the Website Terms of Use.  In the event of any conflict between the Fees and Payment Policy and the Website Terms of Use, the inconsistency shall be resolved by giving precedence to the Fees and Payment Policy.

 8. Miscellaneous

At any time and in Saloon Studios’ sole discretion, We may add, delete, or modify this Fees and Payment Policy. We will use commercially reasonable efforts to publish any revised portion of the Fees and Payment Policy, for example, by publishing the latest version of these terms and conditions at https://saloonstudioslive.com. Should You deem any such addition, deletion, or modification to the Fees and Payment Policy unacceptable, You must stop purchasing any of Our fee-based Services. All changes to the Fees and Payment Policy shall be effective immediately upon publishing.

If any part of the Fees and Payment Policy is determined to be invalid or unenforceable pursuant to applicable law, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the Agreement shall continue in effect.

No failure or delay in enforcing any provision, exercising any option, or requiring performance, shall be construed to be a waiver of that or any other right in connection with the Fees and Payment Policy.

No action arising out of this Agreement or Your purchase of any fee-based Services, regardless of form or the basis of the claim, may be brought by You more than one (1) year after the cause of action has arisen (or if multiple causes, from the date the first such cause arose) and You hereby waive any longer statute of limitations that may be permitted by law.

If Saloon Studios does take any legal action against You as a result of Your violation of this Fees and Payment Policy and/or the Website Terms of Use, Saloon Studios will be entitled to recover from You, and You agree to pay, all reasonable attorneys’ fees and costs of such action, in addition to any other relief granted to Saloon Studios. You agree that Saloon Studios will not be liable to You or to any third party for termination of Your access to, or use of, any of our fee-based Services as a result of any violation of the Fees and Payment Policy and/or the Website Terms of Use or for any reason at all.

You may not assign, by operation of law or otherwise, any rights or delegate any duties under the Fees and Payment Policy to any third party without prior written consent by Saloon Studios. Any purported assignment lacking such consent will be void at its inception. Saloon Studios may assign all or part of its rights and/or delegate all or part of its duties under the Fees and Payment Policy to any party, at any time, and in its sole discretion, upon notice of assignment by posting such notice on our Website.
